Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of Icecorp Technologies Ltd’s (“we”, “us”, “our”) services, including AI tools, websites, hosting, IT support, and related solutions. By engaging with us or using our services, you agree to comply with these Terms. Please read them carefully to understand your rights and responsibilities.
1. Parties
These Terms apply between Icecorp Technologies Ltd (“we”, “us”, “Icecorp”) and you (“Client”).
2. Our Responsibilities
We deliver agreed services (e.g. AI tools, web applications, hosting, backups, IT management) professionally and in a timely manner. We communicate clearly and respond promptly to your queries. We resolve any agreed deliverable issues after completion.
3. Your Responsibilities
You commit to providing necessary information, access, approvals, and materials without delay. You ensure anyone acting on your behalf has the authority to make decisions and agree to pay invoices per the agreed terms.
4. Payment & Invoicing
All advertised prices are in NZD and include 15% GST. A non-refundable deposit of 50% of quoted fees (unless stated otherwise) is required before work begins. The remaining balance is due on completion or as otherwise agreed in writing. Recurring services (e.g. RMM, backups) are billed monthly, annually, or per contract terms. Payment is accepted via PayPal (for international clients) or NZ bank transfer (for NZ-based clients). Invoices are payable within 14 days. Late payments may incur fees, and unpaid invoices may lead to service suspension or debt recovery costs.
5. Ownership & Intellectual Property
You own final deliverables (e.g. websites, apps, designs, documentation) once full payment is received. We retain ownership of any pre-existing software, frameworks, components, AI models, libraries, or internal tools used during delivery. Any content or materials you supply must be lawful and must not infringe on third-party rights.
6. Changes in Scope
Any changes to the original scope or quote must be agreed to in writing. Additional work may affect pricing and delivery timelines.
7. Support & Maintenance
Ongoing support or maintenance (e.g. backups, monitoring, patching) is only included if part of a paid plan or retainer. Ad-hoc support is billed at our standard hourly rate (minimum charge: one hour).
8. Limitation of Liability
We provide our services with reasonable care and skill, but disclaim liability for indirect or consequential losses (as permitted under New Zealand law). Our maximum liability is limited to the total amount paid by you for the relevant service. We comply with the Consumer Guarantees Act 1993 and Fair Trading Act 1986 where applicable. Nothing in these Terms limits your rights under NZ law.
9. Confidentiality & Data
All client data is handled in confidence and protected using industry-standard security practices. Access to your systems (e.g. via remote monitoring or login tools) is limited to what’s necessary to provide support or complete services. We comply with the New Zealand Privacy Act 2020 and relevant overseas data protection laws where applicable. For more detail, see our Privacy Policy. Some client or project data may be stored or processed using secure third-party platforms (e.g. Vercel, AWS, Google). These providers are selected based on security compliance and data-handling policies.
10. Force Majeure
We are not liable for delays or failures resulting from events outside our control, including natural disasters, third-party outages, regulatory changes, or similar disruptions. Affected obligations may be suspended or canceled as needed.
11. Termination
We may suspend or terminate services for non-payment after written notice. You may terminate any recurring service by providing 30 days’ written notice. All fees due for that period remain payable.
12. Dispute Resolution & Governing Law
These Terms are governed by the laws of New Zealand. In the event of a dispute, both parties agree to attempt to resolve the matter in good faith before taking legal action. Where suitable, disputes may be referred to the NZ Disputes Tribunal or another agreed forum.
13. Acceptance & Updates
By engaging Icecorp Technologies or making payment, you accept these Terms. We may update these Terms from time to time. The latest version will always be available on our website. Continued engagement with us after updates are published constitutes your acceptance of any changes.
